Employer Marketplace Services Agreement

This Employer Marketplace Services Agreement ("Agreement") is between your business and Operating legal entity will be published here before the first real paid pilot shift.("Kavoro", "we", "us") and governs your use of Kavoro's employer-facing marketplace features. By accepting this Agreement, you agree to these terms in addition to the General Platform Terms and Privacy Policy.

1. Your authority and business identity

You represent that you have authority to create and manage an employer account for the business identified by its legal and display names in Kavoro. Legal business identity is shown to workers when you offer them shifts.

2. You are the employer for shifts you post

When you post a shift, review applicants, select a worker, and the worker accepts your shift offer, your business—not Kavoro—is responsible for employment obligations for that work, including wages, supervision, workplace safety, human rights compliance, workers' compensation coverage where required, payroll processing, statutory deductions, and remittances.

Kavoro provides marketplace software and payroll orchestration tools. Kavoro does not replace your legal or HR advisors and does not act as co-employer merely because you use the platform.

3. Shift postings and applicant review

You must post accurate shift information, including role, schedule, location, wage, duties, dress code, and cancellation policy. You review applicants and select workers in good faith. You may not use applicant information to discriminate on prohibited grounds under applicable human rights law.

4. Employment offers and supervision

Selecting a worker creates a shift-level employment offer with material terms captured at selection. The worker must affirmatively accept before the assignment is confirmed. You supervise and direct work at the workplace.

5. Hours, attendance, and payroll

You review submitted hours honestly and approve or dispute them through Kavoro. Approved hours may become payroll-ready records transmitted through Kavoro's orchestration system to an external payroll provider or bureau operating under your employer/payroll account. You remain responsible for funding payroll and lawful payment of workers.

6. Kavoro service fees

Kavoro may charge marketplace or service fees separate from worker wages according to pricing shown in the product or agreed separately. Service fees are distinct from your payroll obligations to workers.

7. Repeat workers and invitations

You may invite workers you have previously completed work with to apply to new shifts. Invitations do not bypass worker acceptance of shift offers.

8. Cancellations, no-shows, and enforcement

You must use product flows to remove workers, record no-shows, or cancel shifts where applicable. Kavoro may suspend employer accounts for policy violations, safety concerns, or operational reasons.

9. No waiver of statutory obligations

Nothing in this Agreement waives employment standards, occupational health and safety, human rights, tax, or workers' compensation obligations that apply to your business.
